Syllabus and more info in the attached. OverviewThis short course provides an introduction for Ph.D. students on the economic analysis individual and corporate liability for corporate misconduct. The course will focus on howliability rules can best be structured to deter different forms of corporate misconduct: criminal violations, securities fraud and insider trading. The course will focus oncorporate crime and securities fraud, but also will introduce students to models of corporate liability for medical malpractice. The course will begin with the foundational models of how liability should be structured to optimally deter wrongdoing by individuals. We will begin with classic modelsof tort liability, focusing on economic analysis when injurers are imperfectly informed about their own behavior, as well as liability imposed on injurers which areorganizations. We will use this context to explore economic models of incomplete contracts—specifically, the effect on agency relationships and optimal liability of moralhazard, adverse selection, authority (Aghion & Tirole), collective goods, and renegotiation. We then will turn to the economic models of crime, beginning with individualliability and moving on to corporate liability. The course also will introduce students to US law and policy governing key areas of law: corporate criminal enforcement, insidertrading, securities fraud, and foreign corruption. The issues covered are relevant well beyond corporate crime and apply to any situation where policymakers are seeking to determine optimal liability when the relevantactors are in a principle- agent relationship (such as corporate governance and medical malpractice). Students seeking credit will be graded based on an exam and class participation. Students also will give a short presentation (20 min) on the last day where they willpresent to the class an important article in the area.
