法律意见 对议定书第7条法律选择方案的修改意见针对与不动产结合的设备,建议统一采用A方案,删除B、C方案,理由如下:1. 公约及议定书设定的主要目的便是保护投资人的利益,降低投资风险,以形成有效激励,从而降低设备融资成本,推动相关设备贸易的发展,以解决发展中国家对于先进设备的需要;与方案B、C相比,A方案能为债权人提供最大限度的法律保护;2. C方案将相关法律问题完全诉诸国内法,而各国的法律差异会给债权人的投资带来很多障碍,债权人的保护面临不确定性,会增加投资成本与风险,而且会造成议定书适用的碎片化,阻碍议定书所设定的目的的实现;3. B方案虽然对债权人、债务人的权利、义务进行了平衡,但是债权人将设备、资金投往国外,面临很多风险,法律保护更应该向债权人倾斜;4. 债权人在进行交易之前就应当认识到,一旦设备与不动产结合,债权人取回设备时会对不动产造成一定程度损害,该风险以及法律后果应当由债务人承担。 Amendment suggestionsto Article 7 Paragraph 2:As to the issueof immovable-associated equipment, we suggest deleting Alternative B and C,merely retaining Alternative A, the reasons are as follows:1. The primary aim of theConvention and the Protocol is to protect the interest of the investors, reducethe effect of investment risk, give rise to effective motivation to theinvestors, so that the financing costs of the equipment can be reducedeffectively, the development of related equipment be promoted and the need foradvanced equipment in developing countries be met as well; compared withAlternative B and C, Alternative A can provide maximum legal protection to thecreditors;2. Alternative C resortscompletely to domestic laws to address the related legal issues, however, thelegal differences in the Contracting States bring a lot of barrier to theinvestment of the creditors. The uncertainty of the law in the ContractingStates will increase the investment cost and risk, lead to Fragmentation of theapplication of the Protocol and consequently hamper the realization of thegoals stated in the Protocol;3. Alternative B tries to balancethe rights and obligations between the creditor and the debtor, with noconcerns of the situation of the creditors, who invest in equipmentinternationally, are exposed to many unpredictable risks, and deserve morelegal protection;4. before the equipment trade, thedebtor should realize that once the equipment gets associated with hisimmovable property, the creditor will cause to a certain degree of damage tothe immovable property in the repossession process, this risk and legalconsequences therefrom should be borne by the debtor. |
